Master Terms of Service
Please review these Master Terms of Service carefully before provisioning, configuring, or routing telephony through the AI-Receptionist enterprise platform.
1. Acceptance of Terms & Corporate Authority
By registering for, subscribing to, or accessing the AI-Reception.ist platform ("Service"), the individual or business entity ("Customer") agrees to be bound by these Master Terms of Service ("Agreement").
The individual executing this Agreement represents and warrants that they possess full corporate authority to legally bind the Customer entity to all terms, liability caps, and indemnification duties set forth herein.
2. SaaS License Grant & Platform Scope
Provider grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable right and license to access and utilize the cloud-based AI receptionist engine, orchestrator workflows, and API endpoints solely for Customer's internal business operations.
- Inbound and outbound automated voice call reception, routing, and intent classification.
- Real-time multilingual natural language conversation and calendar/CRM synchronization.
- Voice transcript logging, sentiment analysis, and multi-tenant management consoles.
3. EMERGENCY SERVICES (911 / 112 / 999) NON-REPLACEMENT DISCLAIMER
THE SERVICE DOES NOT AND CANNOT ROUTE CALLS TO EMERGENCY SERVICES (INCLUDING 911, 112, 999, E911 OR LOCAL PUBLIC SAFETY DISPATCH). AI-RECEPTION.IST IS NOT A TELECOMMUNICATION CARRIER OR REPLACEMENT FOR TRADITIONAL EMERGENCY DIALING. CUSTOMER MUST MAINTAIN DEDICATED ALTERNATIVE TELECOMMUNICATIONS FACILITIES FOR LIFE-SAFETY EMERGENCIES.
4. Telephony Wiretap & Call Recording Legal Compliance
Federal, state, and international wiretapping and privacy statutes strictly regulate the recording of telephonic communications (including US Two-Party Consent states, TCPA, and GDPR):
- Mandatory Recording Disclosure: Customer is solely responsible for ensuring that all inbound and outbound calls include automated audible disclaimers ("This call is answered by an AI assistant and may be recorded for quality purposes").
- Customer Liability: Customer shall bear 100% liability for any wiretapping, unlawful interception, or privacy violations resulting from disabling or tampering with disclosure greetings.
5. Acceptable Use Policy (AUP) & Anti-Spam Warranties
Customer warrants that it shall not use or permit any third party to use the Service for:
- 🚫 Unsolicited robocalling, automated telemarketing spam, or Caller ID spoofing in violation of TCPA or STIR/SHAKEN protocols.
- 🚫 Fraudulent voice synthesis, biometric deepfake impersonation, or unauthorized social engineering.
- 🚫 Providing definitive medical prescriptions or legal counsel without licensed human physician/attorney oversight.
- 🚫 Reverse engineering, scraping model prompts, extracting model weights, or publishing competitive benchmarking without written consent.
6. Intellectual Property & Customer Data Sovereignty
Ownership boundaries are strictly allocated between Provider and Customer:
Customer retains sole and exclusive proprietary ownership of all Customer Data, call audio recordings, custom prompts, internal knowledge bases, and extracted CRM artifacts.
Provider retains all rights, title, and interest in and to the platform algorithms, voice synthesis architectures, orchestrator source code, API schemas, and trademarks.
7. Service Level Agreement (%99.9 Uptime) & Telephony Carriers
Provider targets a monthly Service Level Agreement (SLA) uptime commitment of 99.9% across our core orchestration endpoints.
Upstream public switched telephone network (PSTN) disruptions, regional carrier outages, or fiber cuts outside Provider's cloud control are deemed force majeure events and excluded from SLA credit calculations.
8. Subscription, Overage Rates & Invoicing Terms
Subscription fees are billed in advance on a recurring monthly or annual basis. Voice minutes consumed beyond package allocations are metered and billed at standard published overage rates at period-end:
- All quoted prices exclude applicable sales taxes, VAT, or telecommunications surcharges.
- Unpaid invoices past 14 days may trigger automatic service suspension until cured.
9. Mutual Indemnification
Provider shall defend and hold harmless Customer from any third-party claims alleging that the core Service infringes any registered patent or copyright.
Customer shall defend, indemnify, and hold harmless Provider against any third-party claims arising from Customer's breach of wiretap/recording laws, TCPA violations, unlawful Customer Data, or medical malpractice assertions.
10. Limitation of Liability & Consequential Damages Waiver
TOTAL AGGREGATED LIABILITY CAP
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROVIDER BE LIABLE FOR ANY LOST PROFITS, LOSS OF GOODWILL, OR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. PROVIDER'S MAXIMUM AGGREGATE LIABILITY ARISING UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Governing Law & Binding Arbitration
This Agreement shall be governed by the laws of the State of Delaware (for international/US accounts) or the Republic of Turkey (for Turkey accounts), without regard to conflict of laws principles. Any controversy or claim shall be settled by binding commercial arbitration (AAA / ISTAC). Parties waive any right to participate in a class-action lawsuit or class-wide arbitration.
12. Term, Suspension & 30-Day Data Export
Either party may terminate this Agreement at any time. Upon termination, Customer shall have a 30-day window to securely download call transcripts and analytics logs, after which all tenant datasets are permanently and irreversibly purged from our active clusters.
